U.K. specialty maternity retailer Mothercare Plc has rejected two non-binding written merger proposals from Destination Maternity Corp.

Philadelphia – U.K. specialty maternity retailer Mothercare Plc has rejected two non-binding written merger proposals from Destination Maternity Corp. In a press release, Destination Maternity said its second proposal, delivered June 1 2014, would combine the two companies under a new U.K. holding company which would be listed in the U.S., for a total payment of $453 million to Mothercare shareholders.

Destination Maternity Corp. reported that net income for the quarter ended March 31, 2014 dipped to $3.2 million, compared to $5.9 million in the same period last year.

Philadelphia -- Destination Maternity Corp. reported that net income for the quarter ended March 31, 2014 dipped to $3.2 million, compared to $5.9 million in the same period last year.

Revenue fell 6.5% to $126.1 million from $134.9 million, and same-store sales decreased 5.1%. CEO Ed Krell blamed the disappointing results on inclement weather.

Destination Maternity Corp. reported declining net and same-store sales for the second quarter of fiscal 2014, compared to the same period a year earlier.

Philadelphia – Destination Maternity Corp. reported declining net and same-store sales for the second quarter of fiscal 2014, compared to the same period a year earlier. Net sales decreased 6.5% to $126.1 million from $134.9 million, while same-store sales dropped 5.1%.

Destination Maternity said the decline in net sales resulted primarily from the decrease in comparable sales and decreased sales related to the company's continued efforts to close underperforming stores.

Destination Maternity Corp. is thinking big. The world’s largest retailer of maternity apparel is bullish on its superstore format, with new locations in Paramus, N.J., and Virginia Beach, Va. The Philadelphia-based company has an estimated 35% to 45% share of the U.S. maternity market.

The two new stores vary in size and have different layouts, as well as some merchandising variations. But both are designed as customer-centric, one-stop shopping resources. And both share a common vision.

The 5,000-sq.-ft. store has a "discovery" or open floor plan that offers customers different paths to explore the space. Larger graphics, new fixtures and tables and enhanced fitting rooms  create a modern, inviting environment. Merchandise is displayed in lifestyle zones, with elevated presentations of categories. There are also new mannequins, and more of them.

Destination Maternity Corp. plans to relocate its corporate headquarters and distribution center from Philadelphia, to southern New Jersey.

Philadelphia -- Destination Maternity Corp. plans to relocate its corporate headquarters and distribution center from Philadelphia, to southern New Jersey.

The company's corporate office operations (which are currently split between its headquarters at North 5th Street in Philadelphia and its offices in the Philadelphia Navy Yard) will move twelve miles from the current 5th Street headquarters facility to a completely renovated 74,000-sq. ft. building in Moorestown, New Jersey. The chain expects the move to occur in fall 2014.

Destination Maternity Corp. announced that its net income for the third quarter of fiscal 2013 was $8.6 million, an increase of 24% compared to net income of $6.9 million for the third quarter of fiscal 2012.

Net sales for the third quarter of fiscal 2013 increased 2.2% to $141.9 million from $138.8 million a year ago. Same-store increased 4.9%.

Motherhood Maternity will close all of its locations in Southside Hampton Roads and move into the new Destination Maternity in September. The new store will carry all of the retailers concepts including Motherhood Maternity and A Pea in the Pod.

Destination Maternity its total sales for the second quarter fell 2.1% to $134.9 million from $137.8 million.

Philadelphia -- Destination Maternity its total sales for the second quarter fell 2.1% to $134.9 million from $137.8 million. The company attributed the drop to the closure of all of its remaining leased departments within Babies “R” Us stores in October, along with the closures of underperforming stores.

Despite the sales drop, Destination Maternity said it now expects its second-quarter profit to fall in the top half of its previously projected range of 38 cents to 44 cents per share, crediting tight management of its expenses.

Destination Maternity Corp. reported that revenue for the first quarter edged down to $135.3 million, from $136.4 million in the year-ago period.

Philadelphia -- Destination Maternity Corp. reported Tuesday that revenue for the first quarter edged down to $135.3 million, from $136.4 million in the year-ago period. The results fell within internal expectations of $132.5 million to $136.5 million.

Same-store sales rose 1.9%.

The maternity apparel retailer said the decline in total revenue was due in large part to sales declines related to closing underperforming stores.

Philadelphia -- Destination Maternity Corp. announced that it has entered into a new $61 million revolving credit facility with Wells Fargo Bank, N.A.

The new credit facility replaces the retailer's $55 million revolving credit facility with Bank of America, N.A., which was due to mature on January 13, 2013.

Destination Maternity reported that revenue for the fourth quarter dipped less than 1% to $128.5 million, but edged Wall Street’s expected $128.4 million in revenue for the period.

Philadelphia -- Destination Maternity reported Tuesday that revenue for the fourth quarter dipped less than 1% to $128.5 million, but edged Wall Street’s expected $128.4 million in revenue for the period. Same-store sales climbed 2.7%.

The retailer, whose brands include A Pea in the Pod, Motherhood Maternity and namesake stores, said the revenue dip in the fourth quarter was due largely to the closure of underperforming stores and that it expects quarterly earnings to exceed guidance.

In the Chicago area, Englewood has been tapped for three new retail projects, including the interior build-out for a new Trader Joe’s coming to the city’s Lincoln Park neighborhood. Trader Joe’s will occupy 14,801 sq. ft. of first-floor retail space, topped by a two-story parking deck. The new store is slated to open in April.

Philadelphia -- Destination Maternity said its fourth-quarter net income tripled as cost-cutting measures paid off, even as sales in some categories fell.

The company earned almost $4.3 million for the quarter that ended Sept. 30, up from $1.4 million during the same period last year. Revenue rose slightly to $124.3 million, from $123.8 million a year earlier. Same-store sales fell 2.3%.
