Books-A-Million said its largest shareholder group, the Anderson family, has withdrawn its non-binding offer to take the company private.

Birmingham, Ala. -- Books-A-Million said its largest shareholder group, the Anderson family, has withdrawn its non-binding offer to take the company private.

The Anderson family, which owns a 53% stake in the chain, had offered $3.05 per share in cash to take the company private in April.

“After discussing the proposal with the special committee of the company’s board of directors and its advisers, the Anderson family has decided not to pursue the proposed acquisition at this time,” the company said in a statement.

Collective Brands said that the U.S. Federal Trade Commission has granted early termination of the waiting periods under the Hart-Scott-Rodino Antitrust Improvements Act in connection with Collective’s impending $2 billion acquisition by Wolverine World Wide, Blum Capital Partners and Golden Gate Capital.

Topeka, Kan. -- Collective Brands said Thursday that the U.S. Federal Trade Commission has granted early termination of the waiting periods under the Hart-Scott-Rodino Antitrust Improvements Act in connection with Collective’s impending $2 billion acquisition by Wolverine World Wide, Blum Capital Partners and Golden Gate Capital.

As announced on May 1, investment firms Blum Capital and Golden Gate will jointly acquire the operations of Payless ShoeSource and Collective Licensing International.

Tarrytown, N.Y. -- DLC Management Corp. announced that it has named Jonathan Wigser as chief investment officer, charged with leading all of the company’s acquisition and disposition activities.

Since joining DLC in 2002, Wigser has been involved in the acquisition and disposition of more than $1.1 billion of retail real estate, in addition to raising more than $250 million of equity from institutional and high net worth investors.

Hudson’s Bay Co. has completed the acquisition of Lord & Taylor, according to a report by Women’s Wear Daily.

New York City -- Hudson’s Bay Co. has completed the acquisition of Lord & Taylor, according to a report by Women’s Wear Daily.

The report said that HBC owner Richard Baker has dissolved the umbrella company that had until now held the two chains, and that HBC would now operate The Bay and Lord & Taylor. The new entity will be run by Bay CEO Bonnie Brooks, according to the report.

The acquired firm will operate under its current name, management team and capabilities, which include approximately 500 employees at offices in Boston; Long Island, N.Y.; Minneapolis; Morrisville, N.C.; New York City; Philadelphia and Washington, D.C.

Apparel giant VP Corp. announced that it has completed its previously-announced acquisition of The Timberland Company in a deal valued at $2.3 billion.

Timberland will become part of VF's Outdoor & Action Sports Coalition, which includes The North Face. The formerly family-held company will remain headquartered in Stratham, N.H.

Cape Town, South Africa -- A Tuesday report by Bloomberg said that South Africa’s parliament will let anti-trust regulators decide what conditions to impose on Wal-Mart Stores in its acquisition of Massmart Holdings Ltd.

The Competition Tribunal ruled on May 31 that Wal-Mart could proceed with its $2.4 billion purchase of a controlling stake in Johannesburg-based wholesaler Massmart on condition no jobs are cut for two years.

New York City -- Jones Group's net income fell 34% in the first quarter, weighed down by higher costs and charges tied to an acquisition.

Jones Group earned $25.9 million, compared with $39.4 million a year ago.

Jones Group said its quarterly results included about $11 million in costs and charges tied to its Stuart Weitzman acquisition and other restructuring and strategic review costs. Last year's quarter included costs and charges totaling approximately $3 million.
